Welcome to Oulai Textile.
Oulai Textile is a B2B textile supplier specializing in fabrics for bedding, home textiles, apparel, hospitality, wholesale, OEM/ODM, and private-label customers.
Most of our products are supplied or manufactured according to the buyer's specific requirements, including but not limited to fabric composition, color, pattern, width, weight, finishing, printing, labeling, packaging, quantity, and other technical specifications.
Because product samples and specifications are normally confirmed by the buyer before bulk production, confirmed bulk orders are generally non-returnable and non-refundable.
Please review the following policy carefully before placing or confirming an order.
1. B2B Orders and Final Sale
Our products are primarily sold on a business-to-business (B2B) basis.
Before bulk production, buyers are responsible for reviewing and confirming all applicable order details, which may include:
- Product specifications
- Fabric composition
- Width
- Weight or GSM
- Color
- Pattern or artwork
- Printing requirements
- Finishing requirements
- Approved samples
- Lab dips or color references
- Packaging requirements
- Labels
- Quantity
- Delivery requirements
- Other technical or commercial requirements
Once the buyer has approved the applicable sample, specification, quotation, purchase order, proforma invoice, artwork, lab dip, or other order confirmation and production or procurement has begun, the order is considered final.
Therefore, we do not accept returns, exchanges, cancellations, or refunds for reasons including, but not limited to:
- Change of mind
- Change in market demand
- Customer inventory issues
- Incorrect quantity ordered by the buyer
- Incorrect specification provided or approved by the buyer
- Incorrect color, width, weight, design, or other requirement approved by the buyer
- Customer no longer needing the products
- Customer's end customer canceling an order
- Products not reselling as expected
- Minor commercially acceptable variations
- Other non-quality-related reasons
2. Sample and Specification Approval
For customized or bulk orders, we may provide or confirm samples, lab dips, artwork, photographs, specification sheets, technical documents, or other reference materials before production.
Once the buyer approves such materials, the approved sample and/or written specifications will serve as the primary reference for bulk production and quality evaluation.
Approval may be provided through methods including email, purchase order, quotation confirmation, messaging applications, signed documents, or other written communication between the buyer and Oulai Textile.
The buyer is responsible for carefully checking all specifications before giving final approval.
Once approval has been given and production has started, changes may not be possible.
3. Customized, OEM, ODM and Made-to-Order Products
Customized products are non-returnable and non-refundable once production, material procurement, printing, dyeing, finishing, cutting, packaging, labeling, or other customization work has begun.
Customized products may include, but are not limited to:
- Custom colors
- Custom printed fabrics
- Custom patterns or artwork
- Custom fabric widths
- Custom GSM or weight
- Custom composition
- Custom finishes
- Custom labels
- Custom packaging
- Private-label products
- OEM products
- ODM products
- Products manufactured according to customer-provided samples or specifications
These products are manufactured specifically for the buyer and may not be commercially suitable for resale to other customers.
For this reason, orders cannot normally be returned or refunded after production has commenced.
4. Color and Production Variations
Textile manufacturing involves dyeing, printing, finishing, weaving, knitting, cutting, and other production processes that may naturally result in minor variations between samples and bulk production or between different production batches.
Such variations may include reasonable differences in:
- Color shade
- Fabric hand feel
- Surface appearance
- Weight
- Width
- Shrinkage
- Printing position
- Pattern alignment
- Texture
- Finish
- Packaging appearance
Where specific tolerances have been agreed in writing before production, those agreed tolerances will apply.
Where no specific tolerance has been agreed, minor variations that are commercially reasonable for textile manufacturing will not, by themselves, be considered defects or grounds for return, rejection, or refund.
Colors displayed on computer monitors, mobile phones, photographs, websites, or other digital devices may also differ from the actual fabric due to differences in screen calibration, lighting, photography, and display settings.
For orders where precise color matching is important, buyers should approve a physical sample, lab dip, or other agreed color reference before bulk production.
5. No Returns for Approved Bulk Orders
Due to the nature of international B2B textile trade and customized production, we do not accept physical returns of confirmed bulk orders unless Oulai Textile expressly agrees to such a return in writing.
Customers must not ship any products back to us without prior written authorization.
Unauthorized returns may be refused and will not automatically qualify for a refund, replacement, credit, or other compensation.
In many cases, verified quality claims may be resolved without physically returning the goods.
6. Quality Claims
Although confirmed orders are generally non-returnable and non-refundable, we take legitimate manufacturing and fulfillment issues seriously.
If you believe that the products received have a material manufacturing defect or are materially inconsistent with the specifications or samples confirmed before production, please contact us within 7 calendar days after receipt of the goods.
The claim should include:
- Company name
- Contact person
- Order number or invoice number
- Product name or SKU, where applicable
- Quantity received
- Quantity claimed to be affected
- Detailed description of the issue
- Clear photographs
- Videos where appropriate
- Photographs of packaging and labels
- Relevant measurements or test results, where applicable
- Any other reasonable supporting evidence requested by us

Claims submitted without sufficient supporting evidence may require additional information before they can be evaluated.
7. What May Qualify as a Valid Quality Claim
Subject to verification, examples of issues that may qualify for review include:
- The wrong product was supplied
- The wrong fabric composition was supplied
- The delivered product materially differs from the buyer-approved specification
- The delivered product materially differs from the approved sample beyond the agreed or commercially reasonable tolerance
- Significant manufacturing defects
- Significant printing defects
- Materially incorrect dimensions or specifications
- Quantity shortages attributable to us
- Other material non-conformities caused by Oulai Textile
Whether a claim is valid will be determined based on the applicable order documents, approved samples, technical specifications, written communications, inspection evidence, and other relevant information.
8. Issues That Normally Do Not Qualify for Refund or Return
The following circumstances generally do not qualify for return or refund:
- Buyer changes their mind
- Buyer ordered the wrong item
- Buyer provided incorrect specifications
- Buyer approved incorrect specifications
- Buyer approved a sample and later changes requirements
- Buyer's customer cancels their order
- Products do not sell as expected
- Market price changes
- Market demand changes
- Buyer's warehouse or inventory issues
- Minor color variations within agreed or commercially reasonable tolerance
- Minor weight or width variations within agreed or commercially reasonable tolerance
- Minor differences between digital photographs and actual products
- Normal variations between textile production batches
- Damage caused after delivery by improper storage, washing, processing, transportation, cutting, sewing, finishing, or other handling by the buyer or a third party
- Products altered, processed, cut, washed, sewn, dyed, printed, laminated, coated, or otherwise modified after receipt
- Products used in further manufacturing before the buyer properly inspected them
Buyers are therefore strongly encouraged to inspect goods before cutting, sewing, processing, reselling, or otherwise using them.
9. Resolution of Verified Quality Claims
If a claim is verified and we determine that the issue was caused by Oulai Textile, we will work with the buyer to determine an appropriate commercial solution.
Depending on the nature and extent of the verified issue, a solution may include:
- Replacement of the affected quantity
- Reproduction of the affected quantity
- Supplementary shipment
- Repair or reprocessing where commercially practical
- Credit toward a future order
- Partial refund for the affected quantity
- Other mutually agreed commercial compensation
The appropriate solution will depend on the circumstances of the claim.
Submitting a quality claim does not automatically entitle the buyer to a full refund of the entire order.
Any refund, credit, replacement, reproduction, or other remedy must be confirmed by Oulai Textile in writing.
10. Refunds
Because our bulk orders are generally customized or confirmed through samples and specifications, refunds are not normally provided after production has begun.
Where Oulai Textile agrees in writing that a refund or partial refund is appropriate as the resolution of a verified claim, the amount will be based on the affected products and the circumstances of the claim.
Shipping charges, customs duties, taxes, bank charges, payment processing fees, import charges, brokerage charges, and other third-party costs are generally not refundable unless otherwise agreed in writing.
Where technically and commercially applicable, refunds will normally be made through an agreed payment method.
11. Samples
Sample availability, sample charges, courier costs, and any sample refund arrangements will be communicated separately before a sample order is placed.
Unless specifically agreed otherwise in writing, sample fees and international courier charges are not automatically refundable.
Approval of a sample indicates that the buyer accepts the relevant product characteristics represented by that sample, subject to the written specifications and agreed production tolerances.
12. Order Cancellation
Buyers should contact us immediately if they wish to request cancellation of an order.
Cancellation may be possible only if production, procurement, customization, printing, dyeing, finishing, packaging, or other order-related work has not yet begun.
Once production or procurement has started, cancellation is generally not accepted.
If we exceptionally agree to cancel an order after costs have already been incurred, Oulai Textile reserves the right to deduct reasonable costs already incurred in connection with the order, including:
- Raw materials
- Custom materials
- Dyeing
- Printing
- Sampling
- Manufacturing
- Processing
- Packaging
- Labels
- Banking or payment fees
- Other order-specific expenses
Any remaining amount, if applicable, will be handled according to the written agreement between the buyer and Oulai Textile.
13. Shipping Damage
The buyer should inspect the external condition of the shipment at the time of delivery whenever possible.
If packaging is visibly damaged, wet, torn, crushed, opened, or otherwise abnormal, the buyer should:
- Photograph the shipment before opening it.
- Photograph the damaged packaging.
- Photograph the affected products.
- Retain the packaging and shipping documents.
- Notify us as soon as reasonably possible.
Responsibility for loss or damage during transportation may depend on the shipping arrangement, carrier, freight forwarder, agreed Incoterms, and other contractual terms applicable to the order.
Transport damage will therefore be handled according to the applicable shipping agreement and circumstances.
14. Inspection Upon Receipt
As a B2B buyer, you are expected to inspect the goods within a reasonable period after delivery.
We recommend checking:
- Product identity
- Quantity
- Color
- Width
- Weight
- Composition
- Printing
- Surface quality
- Packaging
- Other key specifications
Quality concerns should be reported before the goods are cut, sewn, washed, dyed, printed, processed, resold, or incorporated into another product whenever reasonably possible.
Use or further processing of the goods may affect our ability to verify a claim.
15. Unauthorized Deductions and Chargebacks
Buyers should contact us directly regarding any order dispute or quality claim so that the matter can be reviewed using the confirmed order documents and supporting evidence.
A buyer should not unilaterally deduct amounts from outstanding invoices or payments unless such deduction has been agreed by Oulai Textile in writing.
Nothing in this section limits any rights that cannot lawfully be excluded under applicable law or payment-provider rules.
16. Separate Sales Contracts and Purchase Agreements
For B2B orders, the buyer and Oulai Textile may enter into a separate quotation, proforma invoice, purchase order, sales contract, quality agreement, specification sheet, or other written agreement.
If a separately signed or mutually confirmed commercial agreement contains specific terms regarding quality, inspection, claims, returns, cancellation, compensation, or refunds, those specifically agreed terms will apply to that order to the extent permitted by applicable law.
